Terms of Service
1. The Platform
DialProng provides software for outbound/inbound dialing, analytics, AI coaching, and related workflows (the “Platform”). DialProng is a technology platform—not your carrier of last resort, not your lawyer, and not the party placing calls “as” your business.
2. Accounts
Provide accurate business information, protect credentials, and ensure only authorized users access your account and subaccounts. You are responsible for all activity under your credentials.
3. Fees & usage
Plan limits and usage-wallet rules are as published at purchase. Usage is prepaid and billed at the disclosed markup over underlying provider costs. See the Billing Authorization & Chargeback Policy.
4. Acceptable use
Do not use the Platform to violate law, traffic illegal content, attack systems, evade sanctions, or commit fraud. Dialing compliance duties are in the Outbound Dialing & User Responsibility Acknowledgment.
5. Intellectual property
DialProng retains all rights in the Platform. You retain rights in your contact data and call content, subject to the Data Usage terms. You grant DialProng a license to process your data to provide and improve the Platform.
6. Suspension
We may suspend access for non-payment, low wallet balance, abuse, legal risk, or chargeback/fraud investigation without liability for lost dialing time.
7. Disclaimer
THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, DialProng DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant uninterrupted dialing, carrier connectivity, AI accuracy, or compliance outcomes.
8. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW: (a) DialProng is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or lost profits; (b) aggregate liability will not exceed fees you paid to DialProng for the Platform in the three (3) months before the claim (excluding pass-through usage).
9. Indemnification
You will defend and indemnify DialProng and its officers, directors, employees, and agents from claims, fines, and expenses (including attorney’s fees) arising from your use of the Platform; your calling/messaging/AI content; your contacts and consent records; your violation of law (including TCPA, TSR, DNC, state mini-TCPA); your breach of these terms; or chargebacks in breach of the Billing Policy.
10. No class actions
TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION AGAINST DialProng. Disputes are individual. Venue lies in the courts of DialProng’s principal place of business unless a separate arbitration addendum applies.
11. Changes
We may update these terms by posting a new version. Continued use after the effective date is acceptance.
12. Entire agreement; severability
These legal documents plus your order form are the entire agreement. If any provision is unenforceable, the rest remains in force.
