Billing Authorization & Chargeback Policy
Processor summary (read first)
By creating an account, adding a payment method, starting a subscription, or clicking “I Agree”, you confirm you intend to use DialProng for legitimate business purposes; authorize recurring subscription, seat, and usage-wallet charges; acknowledge charges appear as DIALPRONG (or **DIALPRONG*SUB**) on card statements; and agree that wrongful chargebacks after authorized use are a material breach subject to the liquidated damages and collections terms below.
1. Intent to use
You represent you are purchasing with full intention to use the Platform. You will not pay for the purpose of obtaining a refund, chargeback, or “friendly fraud.”
2. Authorization
You authorize DialProng and its processors (including Whop and card acquirers) to charge your payment method for: (a) recurring platform fees and seat overages; (b) prepaid usage wallet recharges and usage; (c) taxes; and (d) liquidated damages, collection costs, and attorney’s fees under this Policy. Authorization continues until you cancel per Section 5 and all balances are paid.
3. Statement descriptor
Charges may appear as DIALPRONG or **DIALPRONG*SUB**. Keep this Policy and your order confirmation. Recognize these descriptors as authorized DialProng charges.
4. All sales final
Except where non-waivable law requires otherwise, all sales are final. Discretionary goodwill refunds do not create a policy. Consumed usage wallet spend is non-refundable.
5. Cancellation
Cancel future renewals in the billing portal or by written notice. Cancellation does not refund the current term or erase incurred usage. You remain liable for amounts owed through the paid period.
6. Contact merchant before any bank dispute
Before any chargeback or card dispute, you must email billing support with invoice ID, amount, date, and reason, and allow fifteen (15) business days for a good-faith response. Skipping this process for an authorized charge is a material breach.
7. Wrongful chargebacks — liquidated damages & collections
Initiating a chargeback or dispute for charges you authorized and services you accessed (or had available) is a breach of contract and, where facts support it, abusive or fraudulent dispute practice.
For each wrongful chargeback instance you agree to pay as liquidated damages (a reasonable pre-estimate of investigation, processor, and opportunity costs):
the greater of (a) USD $5,000, or (b) two times (2×) the amount charged back / disputed,
plus attorney’s fees and collection costs; card-network / processor fees; and interest on unpaid amounts at the maximum market/legal rate permitted by law from the chargeback date until paid.
DialProng will not settle for less than attorney’s fees + costs incurred + interest on lost funds at market rate, unless DialProng agrees otherwise in a signed writing.
DialProng may pursue collections, civil litigation, and—to the maximum extent permitted by law—credit bureau reporting of unpaid obligations. You consent to such reporting where lawful.
Nothing here requires action that would violate card-network rules or non-waivable consumer statutes; this Policy is enforced to the maximum extent permitted.
8. Evidence for banks & processors
Registration logs, IP/device data, clickwrap acceptance, order confirmations, login/dial activity, wallet top-ups, and this Policy may be submitted in representment. You authorize that use.
9. Administrative chargeback fee
USD $75 (or the processor’s higher then-current fee) per dispute, due immediately, in addition to Section 7.
